Preparing a Family Business for Its Next Generation of Leadership
A comprehensive succession and governance process helped a successful multigenerational family business transition its leadership, strengthen its executive team, and introduce independent directors for the first time.
The Company
A successful, long-established family-owned business had been led by members of the same family for generations. The company was profitable, respected in its industry, and supported by an experienced workforce. Its owners wanted to preserve the culture and values that had contributed to that success while putting in place the leadership and governance structure needed for the company’s next stage.
The Challenge
Leadership had historically been concentrated within the family, and previous successions had largely centered on selecting the next individual leader. This transition presented an opportunity to take a more comprehensive approach: determine who should lead the company next, clarify the responsibilities of senior executives, strengthen the management team, and create a board capable of providing greater strategic guidance and independent perspective.

The solution
Varuna Strategies worked closely with the family, board, and senior leadership on an integrated transition process.
The work began with a structured evaluation of leadership responsibilities and succession needs, ultimately helping the company select a family member to become its new CEO and establish a clearer leadership structure. The process also examined the senior management team and the capabilities the business would need going forward, helping the company identify and recruit executives for key leadership roles. The resulting structure established defined responsibilities across the CEO and senior management team.
We then helped the company rethink the composition and role of its board. After generations of exclusively family governance, we worked with the family in a collaborative process which resulted in the company deciding to add independent directors for the first time. Varuna helped determine the experience and attributes the board needed and conducted the search that resulted in the addition of two independent.
